StreamXCare Terms and Conditions

These terms and conditions (“Terms and Conditions”) exclusively govern the services provided by StreamXCare (“Company”) to the customer (“Customer”). By using our services, the Customer agrees to be bound by these Terms and Conditions.

Agreement; Conflicts; Modifications

Each service engagement between StreamXCare and the Customer shall be governed by these Terms and Conditions. The Customer’s acceptance of an order, issuance of a purchase order, or full or partial payment for services constitutes unconditional acceptance of these Terms and Conditions. These Terms and Conditions, along with any issued proposal, statement of work, or agreement, form the entire agreement between the parties. Any additional or conflicting terms proposed by the Customer shall not apply unless agreed to in writing by an authorized StreamXCare representative.

Term And Termination

Term; Automatic Renewal. Each service agreement shall commence on the date specified in the order and continue for the specified term. Unless otherwise stated, service agreements will automatically renew on a month-to-month basis unless either party provides a 90-day written notice of non-renewal.

Termination for Cause

Either party may terminate the agreement immediately upon written notice if the other party fails to fulfill a material obligation and does not correct it within 20 days after written notification. Termination may also occur if either party ceases business operations, becomes insolvent, or enters bankruptcy proceedings that are not dismissed within 90 days.

Effect of Termination

Upon termination, the Customer must pay for all services rendered before the termination date. Any provisions related to confidentiality, liability, and intellectual property will survive termination. If managed services are terminated, StreamXCare will use reasonable efforts to transition the Customer’s account to the Customer or a designated third party, provided all payments are up to date.

Price And Payment

Fees for services are outlined in the order. Unless specified as a fixed fee, all service fees are estimates and will be billed based on time and materials. Prices may be subject to change with a 30-day written notice, except for changes due to third-party vendor pricing fluctuations, which may occur without notice.

Expenses

The Customer agrees to reimburse StreamXCare for reasonable out-of-pocket expenses, including travel and lodging costs, incurred while performing services.

Invoices

Unless otherwise specified, all invoices are due within 10 days from the invoice date. Monthly service fees are payable in advance.

Late Payments

Any unpaid balance will incur a late payment fee of 1.5% per month or the maximum rate allowed by law. If payments are overdue, StreamXCare may suspend services until payment is received. The Customer is responsible for any legal or collection fees incurred due to non-payment.

Taxes

Prices do not include applicable taxes. The Customer is responsible for any taxes unless an exemption certificate is provided.

Information Security & Confidentiality

StreamXCare implements strict security measures to protect customer data. All confidential information exchanged during service delivery will remain protected and will not be disclosed to third parties except as required by law.

Liability Limitation

To the maximum extent permitted by law, StreamXCare shall not be liable for indirect, incidental, or consequential damages arising from services provided. Total liability under any agreement shall not exceed the total fees paid by the Customer for the services in the preceding six months.

Modifications To Terms

StreamXCare reserves the right to update these Terms and Conditions at any time. Changes will take effect immediately upon being posted on our website or communicated to the Customer.
